the period before the SEC is required themselves to publicise any such discussion with BBBY about M amp A discI am referring here to the original post on this topic by u DanDJR regarding the quot missing quot S A filings for the bond deal extensions announced on December th and th The theory here being that BBBY may have requested for a Confidential Treatment Order CTO to be effected by the SEC so that any information in these two filings related to an M amp A is not made public There was some controversy over whether S A filings are even required for deadline extensions and I made a post that shows some precedent of this type of situation However there was one other thing bugged me about the whole quot Missing S As and CTO quot theory Namely where the CTOs themselves are as I believe the SEC publishes a notification of these being in effect on its EDGAR filing database if a company s request for one is accepted For example here is a link to the CTO for one requested last year by Tesla for an extension of a previous CTO As is very evident in BBBY s filings on EDGAR the two missing S As are still missing However for the CTO theory to be correct I was thinking there should be a CTO filed on or just before December th However with this also missing I was thinking it may invalidate the theory But then u DanDJR made a couple of posts sharing his correspondence with an anonymous source who had also carried out some research in this area One of the points they made is that a CTO has days to be reviewed by the SEC Never one to just accept a quot trust me bro quot I decided to check if this is correct and believe this is likely accurate I found the same time period provided by some law firms which specialises in giving guidance to companies for this area And also on this more general site with market related information If the form is appropriately filled by the companies planning for a merger and sent for review the SEC provides the comments within business days of filling Once a comment is passed subsequent amendments may be required The comments are generally passed within ten business days Let us say an S A was filed by BBBY on th December which this time included additional information that hints at an M amp A Or that a completely fresh S was filed on that same date which supplanted and added to the one detailing the Earnings Offering for the bond deal In that case with this maximum business days review period we are still comfortably within the period before the CTO has to be filed to EDGAR And if there are any comments clarification discussions needed between the SEC and BBBY potentially would be quite some time yet Therefore I believe the lack of a CTO being filed does not invalidate the quot Missing S A quot theory And from conducting this additional research I found out something else that is important CTOs are now even no longer necessary in situations where companies want to protect such information from going public through SEC mandatory filings It appears the SEC made some changes in which now no longer requires these to be filed separately but instead just to include some notes on whichever form is being submitted to make such a request Effective April the exhibit rules were updated to eliminate the requirement to submit a confidential treatment request to the SEC in most situations in which companies would be required to file material agreements containing commercially sensitive terms Companies may redact confidential information from versions of agreements filed as exhibits with periodic reports and registration statements without a confidential treatment request This also explains something that previously puzzled me about this whole theory which was why there were so few CTOs filed on EDGAR last year when I did a search The reason is the above which is they are mostly defunct now In fact the only fresh CTO filings made these days appeared to be for getting extensions of old ones Sure enough that seems to be exactly correct as per that same guidance article If less than three years have passed following the issuance of the initial order and thus a copy of the unredacted agreement remains in the possession of the SEC companies are allowed to submit a short one page extension request in lieu of the more fulsome request otherwise required by Rules and b to extend confidential treatment TL DR So basically this means BBBY would not have even had to make a separate CTO request if the updated S As included some information regarding a potential M amp A With it possible to make a confidentiality request within the filing itself even more straightforward to protect such sensitive information Hence allied to the relatively long review period for S A filings of up to business days I do believe the quot Missing S A quot theory is definitely still in play EDIT I want to add this comment I made as a response to a point made about whether the quot Missing S A quot theory is fundamental to the possibility of an M amp A Well one thing I should point put is that it is not really necessary at all for an M amp A thesis to be valid For all we know there have been discussions happening between BBBY and other parties but not yet at the concrete stage where any official filing with the SEC is required i e through an S registration Hence although the quot missing quot S As are indeed intriguing even if they were to suddenly appear right now and there is no hint of an M amp A contained within them does not dispel the possibility of an M amp A at all submitted by u Region
